Terms of Use

1. What ClearFlow Is

ClearFlow is a broker-synced trading journal platform. It lets traders log their trades, optionally share them publicly, and view publicly shared trade journals from other users. We connect with supported third-party brokers so your trades can sync automatically into your own journal.

2. Who Can Use ClearFlow

To create an account, you must:

• Be at least 18 years old
• Be a resident of the United States(we're starting US-only and will expand)
• Have the legal capacity to enter into a binding agreement

By signing up, you represent that you meet these requirements.

3. Account Registration & Responsibilities

When you register, you agree to:

• Provide accurate, current information
• Keep your password confidential and secure
• Not share your account with anyone else
• Notify us immediately at legal@getclearflow.io if you suspect unauthorized access

You are responsible for activity under your account, including activity by anyone you allow to access it.

4. Your Content

You Own It

Your trades, notes, journal entries, and any other content you post ("User Content") belong to you. We're not claiming ownership of your data.

The License You Give Us

By posting content on ClearFlow, you grant us a non-exclusive, royalty-free, worldwide license to display, reproduce, and distribute that content on the platform — including showing it to other users and indexing it for search. This license exists solely to operate the service.

If you delete your account or remove content, we'll remove it from public display. Some residual copies may remain in backups for a limited time.

Accuracy of Trade Data

You agree to keep trade data accurate. Broker-synced entries should reflect the source broker record. Manual entries, where available, must accurately reflect actual trading activity and be labeled clearly when they are not broker-synced.

5. Prohibited Uses

You may not use ClearFlow to:

• Post fake or fabricated trades to make your performance look better
• Manipulate markets or coordinate trading activity with other users for that purpose
• Engage in any form of securities fraud, wash trading, or pump-and-dump schemes
• Impersonate another trader or create misleading profiles
• Scrape, harvest, or data-mine the platform without permission
• Use automated tools to interact with the service unless explicitly authorized
• Harass, threaten, or abuse other users
• Violate any applicable law or regulation, including SEC and FINRA rules

Violations may result in immediate account termination and, where required by law, reporting to regulators.

6. Third-Party Broker Integrations

ClearFlow integrates with supported third-party brokers to sync your trading data. By connecting a broker, you authorize ClearFlow to access your trade history and related account data through that broker's API for read-only journal sync.

Important: ClearFlow is not affiliated with, endorsed by, or responsible for any third-party broker. We are not responsible for:

• Errors or outages in broker data feeds
• Actions your broker takes on your account
• Losses caused by broker-related issues
• Changes to broker APIs that affect your ClearFlow experience

Your relationship with your broker is governed by their terms, not ours. Review them.

“Broker-synced” means the trade was synced from a connected broker account at the time of sync. It does not mean ClearFlow independently audited the trade, account, strategy, or future performance, and it is not an endorsement of any trader.

Tastytrade closed-trade reconstruction currently uses single-leg FIFO matching. Multi-leg or spread grouping is not yet applied and may display legs separately.

6A. Beta Program

ClearFlow is currently in beta. Beta access helps us test broker sync, journal generation, analytics, privacy controls, and related workflows with real user feedback before broader release.

During beta, broker connections, imported trades, reconstructed positions, P&L, analytics, and journal views may be incomplete, delayed, duplicated, unavailable, or inaccurate. Broker data can also vary by broker, account type, asset type, API permissions, and sync timing.

You are responsible for reviewing and verifying all imported data against your broker statements, confirmations, tax documents, and account records before relying on it. ClearFlow is a journaling and review tool only; it is not a system of record for brokerage, tax, legal, or accounting purposes.

Beta features may change, break, be limited, or be removed at any time. We may also ask beta users for feedback, investigate sync issues, or temporarily limit access to protect the service and user data.

6.5. Paid Services (Reserved for Future Use)

ClearFlow is currently free. If and when we introduce paid features or subscription tiers, the following will apply, and we'll update these Terms with specific pricing, billing, and cancellation details before any charges take effect:

• No surprise charges. We will never auto-upgrade free accounts to paid plans without explicit opt-in.
• Clear pricing disclosure.Any recurring charge, renewal date, and cancellation method will be disclosed before checkout, in compliance with applicable state auto-renewal laws (including California Business & Professions Code §17600 et seq. and New York General Business Law §527-a).
• Cancel anytime. Paid subscriptions will be cancellable at any time from your account settings, effective at the end of the current billing period.
• Refunds. Unless required by law, fees are non-refundable once a billing period begins. We may offer pro-rata or goodwill refunds at our discretion.
• Notice before changes.We will provide at least 30 days' notice before any price change affecting your account.

Until paid tiers are launched, this section is informational and creates no obligation on either party.

7. Important Trading Disclaimer

ClearFlow displays both paper trading (simulated) and live trading activity. We do our best to label them clearly, but you are responsible for understanding which is which when viewing others' journals.

Past performance does not guarantee future results. A trader's historical performance — even accurately broker-synced — tells you nothing certain about what will happen next.

Nothing on ClearFlow is financial advice.Not the trades shown, not the win rates, not the P&L figures, not anything a user writes in their journal. ClearFlow is a transparency tool, not an advisory service.

You are responsible for your own trading decisions. ClearFlow is not responsible for investment decisions you make based on information viewed on the platform.

8. Intellectual Property

ClearFlow's name, logo, design, code, and platform features are owned by ClearFlow and protected by applicable intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from our platform without written permission.

The content you post remains yours. The platform itself remains ours.

9. Termination

You Can Leave Anytime

You can delete your account at any time from your account settings. On deletion, your public profile and trade data will be removed.

ClearFlow May Suspend or Terminate Accounts

We may suspend or terminate accounts that violate these Terms, engage in prohibited conduct, or create legal risk for the platform. When reasonable, we will provide notice.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• ClearFlow is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
• We are not liable for any trading losses, financial damages, missed opportunities, or investment decisions made in connection with content on our platform.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.
• Our aggregate liability to you for any and all claims arising out of or relating to the service shall not exceed the greater of (a) fees you paid us in the 12 months prior to the claim giving rise to liability, or (b) one hundred US dollars ($100).

Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law — including liability for gross negligence, willful misconduct, fraud, or violations of consumer protection statutes where such limitation is prohibited. If any provision of this Section 10 is found unenforceable in your jurisdiction, that provision shall be modified only to the extent necessary to make it enforceable, and the remainder of these Terms will remain in full force and effect.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes will be resolved in the state or federal courts located in New York, and you consent to jurisdiction there.

12. Changes to These Terms

We may update these Terms from time to time. When we do, we'll update the effective date at the top and, for material changes, notify you via email or an in-app notice. Continued use of the platform after changes take effect means you accept the new Terms.
